Terms of Service

These Terms of Service ("Terms") govern your access to and use of Farmketplace's website, applications, listings, messaging, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility and U.S.-Only Use

• You must be at least 18 years old and legally capable of entering contracts to use the Services.
• You represent that you are using the Services in compliance with U.S. federal, state, and local laws.
• The Services are intended for users and transactions in the United States only.

2. Account Registration and Security

• You are responsible for all activity occurring under your account credentials.
• You must provide accurate, current, and complete account and profile information.
• You must promptly update your information when it changes.
• You must notify us immediately of unauthorized account access or security incidents.

3. Marketplace Role and No-Transport Scope (v1)

Farmketplace provides a platform to publish listings and communicate with other users. Farmketplace is not the seller, buyer, broker, shipper, carrier, transporter, insurer, veterinarian, escrow provider, or payment processor for user-to-user deals.

Transport coordination and transport transaction features are not part of the v1 launch. Any transport arrangements are solely between users and any third-party providers they engage outside the Services.

4. Listings and User Content

• You are solely responsible for your listings, messages, images, and all other content you submit.
• You represent that you have all rights and permissions needed to post your content.
• You must provide truthful, non-misleading listing details, including condition, status, and location.
• For livestock and agricultural items, you are responsible for all required health, ownership, transfer, and regulatory documentation under applicable law.
• We may remove, hide, edit, or moderate content that violates these Terms or creates legal, safety, or fraud risk.

5. Prohibited Conduct

You may not, directly or indirectly:

• Post illegal, fraudulent, deceptive, infringing, abusive, or harmful content.
• List prohibited items or otherwise violate animal welfare, agriculture, consumer protection, or trade laws.
• Impersonate others, forge identity information, or misrepresent your affiliation or authority.
• Use bots, scraping, automation, or unauthorized access techniques to extract or manipulate platform data.
• Interfere with security controls, access controls, service availability, or system integrity.
• Transmit malware, malicious code, or exploit vulnerabilities.
• Harass, threaten, or engage in discriminatory or abusive conduct toward other users.

6. Transactions, Payments, and Risk Allocation

Users are solely responsible for negotiating, documenting, completing, and settling transactions. Farmketplace does not control and is not responsible for deal terms, title transfer, quality, pricing, inspection outcomes, payment disputes, defaults, shipping, taxes, or legal compliance between users.

7. Fees and Commercial Terms

We may introduce listing, subscription, promotion, or other service fees in the future. If fees are introduced, we will provide notice and publish applicable terms before charging those fees.

8. Intellectual Property and License

Farmketplace and its software, branding, and site content are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose.

By submitting content, you grant Farmketplace a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt, and distribute that content as needed to operate, secure, and improve the Services.

9. Third-Party Services and Links

The Services may interact with or link to third-party services. We do not control third-party terms, privacy, or operations, and we are not responsible for third-party products, services, or conduct.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY LISTING OR USER CONTENT IS ACCURATE, COMPLETE, OR RELIABLE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARMKETPLACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARMKETPLACE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) USD $100 OR (B) THE AMOUNT YOU PAID TO FARMKETPLACE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Farmketplace and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Services, your content, your transactions, or your violation of these Terms or applicable law.

13. Dispute Resolution, Arbitration, and Class Action Waiver

Before filing a claim, you agree to attempt informal resolution by sending the dispute details to legal@farmketplace.com. If a dispute is not resolved within 30 days, either party may initiate binding arbitration.

Except for claims eligible for small claims court and claims seeking injunctive relief for intellectual property or misuse, disputes will be resolved by final and binding arbitration on an individual basis. You and Farmketplace waive any right to a jury trial and waive any right to participate in a class, collective, representative, or mass action.

If a court of competent jurisdiction finds this arbitration provision unenforceable as to a particular claim, then that claim shall proceed in court, and all other claims remain subject to arbitration to the fullest extent permitted by law.

14. Suspension and Termination

We may suspend, restrict, or terminate access to the Services at any time, with or without notice, if we reasonably believe it is necessary for legal compliance, security, abuse prevention, risk management, or enforcement of these Terms.

15. Changes to the Services and Terms

We may modify, suspend, or discontinue any part of the Services, and may update these Terms from time to time. Updated Terms are effective when posted unless otherwise stated. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the United States and the state law that applies to Farmketplace's principal place of business, without regard to conflict-of-law rules, except where preempted by federal law or otherwise required by applicable law.
